CHATTR CONTENT PROVIDER AGREEMENT
Effective Date: April 10, 2026
0. Definitions
For the purposes of this Agreement, the following terms apply:
Platform
The websites, mobile applications, APIs, and creator tools operated by Chattr.
Provider Content
Any text, image, audio, video, livestream, AI-generated material, call session, or other content uploaded or transmitted by you.
Net Receipts
Gross consumer spend minus refunds, chargebacks, processor fees, taxes, rolling reserves, fines, penalties, fraud losses, and other directly attributable costs.
Card Network Rules
All current and future brand-safety standards issued by Visa, Mastercard, Discover, American Express, and successor networks.
Prohibited Content
Content prohibited by the Acceptable Use Policy or this Agreement.
1. Eligibility & Verification
To be eligible as a Provider, you must meet the following requirements:
- Be at least 18 years old
- Complete identity verification (KYC/KYB)
- Submit valid government-issued identification
- Pass sanctions screening (OFAC or equivalent)
Chattr may re-verify you at any time. Failure to cooperate may result in suspension or termination.
2. Independent Contractor Status
You are an independent contractor. Nothing in this Agreement creates employment, partnership, agency, or a joint venture. You control how you produce content while Chattr provides the infrastructure only.
3. Content Standards
You must comply with the Chattr Acceptable Use Policy, Card Network Rules, applicable laws, and 18 U.S.C. § 2257 requirements where applicable.
Chattr may remove content at its sole discretion, including content that poses payment processor or reputational risk.
4. Record-Keeping & Model Releases
You are strictly responsible for maintaining compliance documentation:
- Obtain signed releases from all participants
- Maintain unaltered ID copies of all depicted persons
- Confirm all participants are 18+ at the time of production
- Retain records for at least seven (7) years
Failure to produce documentation within 48 hours of a request may result in immediate takedown, payout freeze, or termination.
5. License Grant
You grant Chattr a worldwide, non-exclusive, royalty-bearing license to host, display, reproduce, and distribute your content for operating the Platform, fraud detection, and marketing.
Except for this license, you retain ownership of your Provider Content.
6. Revenue Share & Financial Terms
All financial interactions are governed by the platform's processing standards:
A. Platform Fee
Chattr retains 20% of Net Receipts. The remaining 80% is payable to you. Fees may be modified upon reasonable notice.
B. Payouts
Payouts occur once your balance exceeds the Minimum Payout Threshold (MPT), typically $100 USD. Timing is subject to processor availability and compliance review.
C. Rolling Reserve
Chattr may withhold up to 10% of Net Receipts for up to 180 days to offset chargebacks, fraud, or network fines.
D. Set-Off
Chattr may deduct refunds, chargebacks, processor fines, and investigation costs directly from your balance.
E. Taxes
You are solely responsible for income tax, sales tax, VAT, and any applicable withholding obligations.
7. Representations & Warranties
By using the Platform, you represent that you own all rights to your content, no content depicts minors, and all information provided to Chattr is accurate.
8. Indemnification
You agree to defend and hold harmless Chattr from claims arising from your content, chargebacks, IP infringement, or failure to maintain records. This obligation survives termination.
9. Suspension & Termination
Chattr may suspend or terminate your account or payouts without notice for policy violations, suspected fraud, or card network demands.
Post-termination, Chattr may hold funds for up to 180 days to cover potential disputes.
10. Audit Rights
Chattr may audit your records to verify age verification compliance and model releases. Failure to cooperate may result in termination.
11. Confidentiality
You must protect confidential information relating to the Platform, including algorithms, revenue models, and fraud detection systems.
12. Arbitration & Governing Law
Governing Law: State of Wyoming, USA. All disputes shall be resolved in accordance with the arbitration provisions in the Chattr Terms of Service.
13. Survival
Sections relating to payments, indemnification, record-keeping, and arbitration survive the termination of this Agreement.
14. 18 U.S.C. § 2257 Compliance
You acknowledge that you are the primary producer of your content and are responsible for maintaining required records.
Chattr acts solely as a service provider and may request proof of compliance at any time.
